Terms of Service

1. Agreement to Terms

By accessing or using Vlesto's services, website, or any associated products, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

Vlesto provides AI SaaS MVP development and consulting services, including but not limited to:

• Custom SaaS MVP design and development
• AI feature integration and automation
• Spec-First Blueprinting and product strategy
• Technical consulting and code review
• Ongoing maintenance and support (if applicable)

3. Project Scope & Deliverables

All projects begin with a Spec-First Blueprinting phase. Once a specification is agreed upon, the deliverables are locked. Any additions, modifications, or scope changes require a new specification and may incur additional fees.

We reserve the right to decline projects that conflict with our values, involve illegal activities, or fall outside our expertise.

4. Payment Terms

• Project fees are outlined in the signed proposal or contract.
• A deposit (typically 50%) is required before work begins.
• Remaining balance is due upon project completion or according to agreed milestones.
• All fees are in USD unless otherwise specified.
• Invoices are payable within 14 days of issuance.
• We reserve the right to pause work if payment is overdue by more than 7 days.

5. Intellectual Property

Upon receipt of full payment, you own all deliverables created specifically for your project, including source code, designs, and documentation.

We retain ownership of:

• Pre-existing code, libraries, frameworks, and tools (including our internal tooling and methodologies)
• General knowledge, skills, and experience gained during the project
• The right to display completed work in our portfolio (with your written consent)

6. Confidentiality

We treat all project information with strict confidentiality. We will not share your business details, source code, or any proprietary information with third parties without your explicit written consent, except as required by law.

7. Revisions & Changes

Each project scope includes a defined number of revision rounds as specified in the proposal. Additional revisions beyond the agreed scope are billed at our standard hourly rate.

Once deliverables are approved (or reasonably deemed approved after a revision period), further changes may require new project agreements.

8. Warranty & Support

We warrant that all deliverables will function as specified in the agreed specification for 30 days following final delivery.

Post-launch support is provided separately under a maintenance agreement, if applicable. We are not responsible for issues arising from third-party services, hosting providers, or changes made by the client after delivery.

9. Limitation of Liability

To the fullest extent permitted by law, Vlesto's liability is limited to the total fees paid by the client for the specific project in question. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.

10. Termination

Either party may terminate a project with 14 days written notice. Upon termination:

• All work completed to date will be delivered to the client
• The client will pay for all work completed up to the termination date
• Any deposit is non-refundable for work already begun

11. Right to Display Work

With your written permission, we may display completed work in our portfolio, case studies, social media, or marketing materials. We will respect any confidentiality requests you make regarding sensitive business details.
